RESTATED ARTICLES OF INCORPORATION OF THE UNITARIAN UNIVERSALIST FELLOWSHIP OF FAIRBANKS, ALASKA

We, the undersigned adult residents of the State of Alaska, for the purpose of forming a non-profit corporation under Title 10, Chapter 20, Article 1, Alaska Statutes, do hereby make and subscribe to the following Articles of Incorporation:

ARTICLE I

NAME:  The name of the corporation shall be the UNITARIAN UNIVERSALIST FELLOWSHIP OF FAIRBANKS, Alaska.

ARTICLE II

PURPOSE:  The purpose of this Fellowship shall be to pursue the study of and practice the principals of the liberal faith, to further individual freedom of belief, and to foster liberal religious attitudes and living through group study, worship, service, work and recreation.  In furtherance of its purpose, this corporation shall have and exercise all of those general powers enumerated in AS 10.20.011.

ARTICLE III

The principal place of business of the corporation shall be Fairbanks, Alaska.

ARTICLE IV

The period of duration of the corporation shall be perpetual.

ARTICLE V

The Fellowship may adopt bylaws that are consistent with these Articles and all applicable law.

ARTICLE VI

Any person may join the Fellowship who is in sympathy with its principles and purpose.  To become a member, each applicant shall sign the Membership book indicating acceptance of these Articles and the Bylaws of the Fellowship.

ARTICLE VII

OFFICERS: The officers of the corporation shall be a President, Vice President, Secretary, and Treasurer, each of whom shall hold office for two years, or until his or her successor has been elected, appointed or qualified. No person shall hold the office of President consecutively.

Only voting members of the Fellowship may become officers, directors, or chairs of committees.

ARTICLE VIII

The Board of Directors shall consist of the officers and such other directors as the Fellowship identifies in and selects pursuant to its Bylaws.

The Board of Directors shall have general charge of the property of the Fellowship, the conduct of all its business affairs, and the control of its administration, including the appointment of such committees as it may deem necessary.

ARTICLE IX

Annual meetings shall be held at the time set by the Board of Directors upon reasonable notice to the voting membership.
